1. Acceptance of Terms, Eligibility, and Platform Role

By accessing and using CASE, you agree to comply with and be bound by these Terms and Conditions. You must be at least 18 years old to create an account, undergo verification, and manage projects.

CASE Technologies LTD is a civic-technology and software infrastructure provider. We provide verifiable public ledger technology, transparency tooling, and transaction coordination for civic initiatives and community projects. CASE Technologies LTD is not a bank, a deposit-taking financial institution, a Microfinance Bank (MFB), a Mobile Money Operator (MMO), a charity, or an NGO. We do not accept or hold custodial banking deposits; all fiat processing, virtual account provisioning, and fund settlements are processed and custodied through licensed third-party financial institutions and payment infrastructure providers (including Paystack). CASE does not direct or control the day-to-day physical labor or on-the-ground execution of any community initiative. Project execution is the sole responsibility of the Organizer, acting as an independent contractor. CASE’s role is strictly limited to providing the technological infrastructure, auditing verification data, and facilitating the programmatic routing of platform funds to verified Organizers. Because this is a community-focused platform, CASE may, at its discretion, prioritize or feature community-wide initiatives on the platform.

2. Account Creation, KYC, and the Closed-Loop Wallet

  • Donor Wallets (Closed-Loop Allocation Ledger): Upon creating a profile, users are provisioned a dedicated digital platform wallet (backed by a Dedicated Virtual Account). This wallet operates strictly as a closed-loop allocation ledger. Fiat funds deposited into this wallet are earmarked solely for backing, initiating, and funding civic initiatives, projects, and milestones on the platform. Because the platform wallet is a closed-loop system dedicated to platform allocations, deposited balances cannot be withdrawn to personal external bank accounts, transferred to non-platform entities, or redeemed as general-purpose stored value.
  • Organizer Payout Accounts: Project organizers do not maintain withdrawable personal digital balances on CASE. Organizers must complete mandatory identity verification (including valid government-issued identification and bank account resolution) and link a compliant, verified external commercial bank account to receive programmatic milestone disbursements.
  • Identity Lock: To prevent fraud and impersonation, once an account (Individual or Organization) is successfully verified, the profile name and associated legal identity are permanently locked at the database level and cannot be altered without administrative compliance review.

3. Project Responsibilities, Independent Contractors, and Content

  • Organizers as Independent Contractors: Project Organizers are legally classified as independent grantees or project contractors receiving platform disbursements to execute stated civic initiatives. Organizers are explicitly not employees, agents, or partners of CASE Technologies LTD.
  • Accurate Representation & Proof of Work: Organizers must provide honest project descriptions, accurate budgets, and verifiable milestones. When funds are disbursed to an Organizer's verified payout account for a funded milestone, submitting Proof of Work (receipts, media updates, and verifiable milestone deliverables) is a mandatory accountability requirement. Organizers must fulfill this obligation for each funded milestone to maintain the integrity of the public ledger and their active status on the platform. Misrepresentation of projects, misuse of funds, or failure to supply valid Proof of Work will result in immediate account suspension, ineligibility for future disbursements, and potential legal action.
  • User-Generated Content License: By uploading descriptions, photos, videos, and milestone proof of work, you retain ownership of your content while granting CASE a non-exclusive, royalty-free, worldwide license to display, host, distribute, and promote this content across the platform and associated civic channels.
  • AI Tooling: CASE provides Artificial Intelligence (AI) tools to assist organizers in structuring project scopes and drafting milestones. The use of these tools is strictly optional. Organizers are solely responsible for reviewing all AI-generated content for accuracy and feasibility prior to publishing.
  • The Core Deletion Lock: To preserve the integrity and auditability of the platform ledger, organizers cannot delete funded projects or funded milestones. Once financial contributions have been allocated to a milestone, the ledger entry is immutable.

4. Financial Mechanics and Settlement

  • Third-Party Payment Infrastructure: All card processing, checkout routing, Dedicated Virtual Account (DVA) provisioning, and external bank transfers are powered by Paystack, Titan Trust Bank, and their partner licensed commercial banks. By using the platform, you acknowledge that financial processing and fiat custody are managed by these licensed entities. CASE Technologies LTD assumes no liability for external network downtimes, banking clearing delays, or regulatory restrictions enforced by payment partners.
  • Disbursement Mechanics & Platform Fees: CASE does not operate an unregulated escrow or banking deposit service. When donors fund a milestone via checkout or their closed-loop platform wallet, the funds (net of transparent administrative and third-party payment processing fees) are programmatically routed to the Organizer's verified external bank account according to project funding rules.
  • Public Ledger & Anonymity Controls: All financial allocations made to platform initiatives are recorded on a publicly verifiable ledger. Registered donors funding a project are identified by default, unless they explicitly elect to mark their contribution as anonymous. External contributions made without a registered profile are recorded in an anonymized format displaying contribution amount, timestamp, and a masked reference, while protecting personal banking details.
  • Surplus & Overflow Milestones: If a project receives contributions exceeding its initial target, the system automatically registers a Surplus Milestone. The organizer is obligated to publicly document how additional funds are deployed for community benefit.

5. Prohibited Content and Conduct

To protect donors and project beneficiaries, the following conduct is strictly prohibited:

  • Dangerous or Illegal Activities: The platform must never be used to finance dangerous, harmful, or unlawful activities. This strictly includes, but is not limited to, extortion, ransom mobilization, weapons manufacturing or procurement, fraud, or terrorist financing.
  • Graphic Media: The dignity of all community members and beneficiaries must be upheld. Any sensitive, medical, or graphic media submitted as milestone verification must be appropriately obscured or censored before submission.
  • External Links: External links in project updates are posted at the organizer's discretion. CASE does not endorse or audit external third-party sites, and navigating external links is done at the user's own risk.
  • Circumvention & Off-Platform Payments: To guarantee data integrity and public ledger transparency, organizers are strictly prohibited from soliciting, posting, or diverting payments to unauthorized accounts (including personal account numbers, external payment links, or cryptocurrency addresses) outside official platform channels. Bypassing the verifiable ledger constitutes a severe violation resulting in immediate account termination.

6. Fraud, Account Suspension, and Ledger Reallocation

If an account is suspended due to suspected fraud, material misrepresentation, breach of these terms, or failure to fulfill verification standards, CASE reserves the right to halt all pending and scheduled disbursements to the Organizer. Because platform wallet deposits represent funds dedicated to platform initiatives on a closed-loop ledger, direct cash withdrawals to external personal bank accounts are not supported. However, in verified cases of organizer default, project cancellation, or fraud, CASE will programmatically restore the donor's unspent allocated balance back to their CASE Wallet ledger, enabling them to redeploy the funds toward a verified community overflow fund or an alternative active project.

7. Limitation of Liability and Governing Law

  • Assumption of Risk and Platform Neutrality: CASE Technologies LTD provides software infrastructure (a digital public ledger and project management tool) to enable community resource coordination. We do not endorse, guarantee, or independently verify the ultimate success or execution quality of any independent project. The information, media, and receipts uploaded to the platform are supplied entirely by the Project Organizers. Contributions are made at the sole discretion and volition of the donor. Donors are responsible for evaluating milestone updates, organizer track records, and project documentation prior to allocating funds. CASE Technologies LTD assumes no liability for third-party execution failures or misrepresentations by platform users.
  • Indemnity & Physical Execution: CASE delivers auditing and technological coordination tools, but is not involved in physical project execution. Organizers are solely, legally, and financially responsible for structural safety, regulatory compliance, operational management, and physical labor related to their initiatives. CASE Technologies LTD accepts no liability for physical injuries, damages, or disputes arising off-platform during project execution.
  • Service Availability: CASE is not liable for third-party payment partner downtimes, banking network clearing delays (such as NIBSS settlement cycles), or telecommunications outages.
  • Governing Law & Jurisdiction: These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising from the use of the platform shall be submitted to the exclusive jurisdiction of the competent courts in Kaduna State, Nigeria.
  • Modifications: CASE reserves the right to modify these Terms at any time. Continued access or use of the platform following any modifications constitutes acceptance of the updated Terms.
